- Introduction: These terms and conditions (“Terms”) govern the services provided by Think Global Ltd Marketing Company (“Company”) to its clients. By engaging the services of the Company, the client agrees to be bound by these Terms.
- Services: The Company agrees to provide marketing services as described in the client’s contract or agreement with the Company. The Company reserves the right to make changes to its services at any time.
- Client Obligations: The client agrees to provide the Company with all necessary information and materials in a timely manner to allow the Company to perform its services. The client is responsible for ensuring that all information and materials provided to the Company are accurate, complete and not misleading.
- Payment Terms: The client shall pay the Company the fees set out in the contract or agreement for the services provided. The client shall pay all invoices within 30 days of the invoice date. If the client fails to pay an invoice within 30 days, the Company may charge interest on the overdue amount at the rate of 4% per annum above the Bank of England base rate.
- Intellectual Property: All intellectual property rights in the services provided by the Company shall remain the property of the Company. The client shall not use the Company’s intellectual property without the prior written consent of the Company.
- Confidentiality: The client shall keep confidential all information obtained from the Company and shall not disclose such information to any third party without the prior written consent of the Company.
- Limitation of Liability: The Company’s total liability to the client in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the services provided shall be limited to the total fees paid by the client to the Company under the contract or agreement.
- Termination: Either party may terminate the contract or agreement by giving written notice to the other party. Upon termination, the client shall pay the Company for any services provided up to the date of termination.
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the English courts.
- Entire Agreement: These Terms constitute the entire agreement between the parties and supersedes all prior negotiations, representations, agreements, arrangements and understandings between the parties, whether written or oral, relating to the services provided by the Company.
- Variation: These Terms may only be varied by agreement in writing signed by both parties.
