Definitions
- “Services”: refers to the marketing services provided by [Company Name], including but not limited to advertising, branding, market research, public relations, and social media management.
- “Client”: refers to the business or individual contracting the Services of [Company Name].
- “Content”: refers to any text, images, videos, or other media provided by the Client or created by [Company Name] for the purpose of the Services.
Scope of Services
[Company Name] will provide the Services as described in the proposal or contract agreed upon between the Client and [Company Name]. Any additional services requested by the Client outside the scope of the proposal or contract will be subject to additional fees.Client Responsibility
The Client is responsible for providing [Company Name] with all necessary information, materials, and approvals in a timely manner. Failure to do so may result in delays and additional fees. The Client is also responsible for ensuring that all Content provided to [Company Name] for the purpose of the Services is accurate, legal, and appropriate.
Ownership
[Company Name] retains ownership of any creative concepts and materials developed during the course of the Services, unless otherwise agreed upon in writing. The Client retains ownership of any Content provided to [Company Name].Confidentiality
[Company Name] will maintain the confidentiality of the Client’s business and any information provided by the Client.Termination
Either party may terminate the agreement at any time with written notice. Upon termination, [Company Name] will immediately cease all work and the Client will pay for any Services rendered up to the point of termination.
Governing Law
This agreement and the relationship between the Client and [Company Name] will be governed by the laws of the state of [State].
By accepting these terms and conditions, the Client agrees to be bound by the terms of this agreement.
